1. Definitions

  • "Agreement" means these Terms and Conditions, together with any engagement-specific scope document.
  • "Service" means the AI consulting and development services provided by Thoughtium, including supply chain optimisation modelling, automated content moderation, and MLOps pipeline setup.
  • "We/Us/Our" refers to Thoughtium, registered in Malaysia with offices at 27 Jalan Dewan Sultan Sulaiman, 50300 Kuala Lumpur.
  • "Client/You" refers to the individual or organisation that engages Thoughtium for services or accesses this website.
  • "Deliverables" means the outputs specified in the scope document for a given engagement.

2. Acceptance of Terms

By accessing our website at thoughtiumi.info or engaging our services, you accept these Terms and Conditions in full. If you do not agree with any part of these terms, you should not use our website or engage our services.

You must be at least 18 years of age and have the legal capacity to enter into contracts to engage our services. If you are acting on behalf of an organisation, you confirm that you have authority to bind that organisation to these terms.

3. Service Description and Availability

Thoughtium provides applied AI consulting and development services. Each engagement is defined in a written scope document agreed by both parties prior to commencement. The scope document constitutes the specific terms for that engagement and supplements these general Terms and Conditions.

Services are primarily delivered to clients in Malaysia and Southeast Asia. We reserve the right to decline engagements that are outside our area of competence or where we assess the project as unlikely to produce a useful outcome.

4. User Responsibilities

When using our website or engaging our services, you agree to:

  • Provide accurate and complete information when contacting us or during engagement onboarding.
  • Not use our website for any unlawful purpose or in a manner that infringes the rights of others.
  • Not attempt to gain unauthorised access to our systems or data.
  • Provide timely access to data, systems, and personnel reasonably required for service delivery.
  • Review and respond to deliverables and check-in communications within reasonable timeframes.

5. Intellectual Property

All content on this website, including text, graphics, and design, is owned by Thoughtium and protected under applicable Malaysian intellectual property law. You may not reproduce, distribute, or use website content without our prior written permission.

For service engagements, intellectual property ownership of deliverables is specified in the scope document. Unless otherwise agreed, upon receipt of full payment, the Client receives ownership of the specific deliverables produced for their engagement. Thoughtium retains ownership of pre-existing tools, methodologies, and general-purpose frameworks used in production.

6. Payment Terms

All fees are quoted and payable in Malaysian Ringgit (MYR) unless otherwise agreed. Payment terms, milestones, and schedules are specified in the scope document for each engagement.

  • A deposit may be required prior to commencement of work, as specified in the scope document.
  • Invoices are due within 14 days of issue unless otherwise agreed in the scope document.
  • Late payments may incur interest at 1.5% per month on outstanding amounts.
  • Prices listed on our website are indicative starting points. Final pricing is confirmed in the scope document.

7. Refund Policy

Deposits paid prior to commencement are non-refundable once work has begun. Where a project is terminated by mutual agreement before completion, fees for work completed to that point are payable. Refund arrangements for work not yet commenced are subject to negotiation in good faith.

Post-delivery support included in the engagement (30 days) does not extend to new feature development or scope changes beyond the original deliverables.

8. Confidentiality

Both parties agree to keep confidential all non-public information received from the other party in connection with an engagement. This obligation applies during the engagement and for a period of two years after its conclusion. Confidentiality obligations are further governed by the mutual NDA signed prior to data sharing.

Client data provided for an engagement is used exclusively for that engagement and is not disclosed to third parties except as required by law. Data is deleted within 30 days of project delivery unless alternative arrangements are agreed in writing.

9. Disclaimers

Services are provided on a professional best-efforts basis. While we apply rigorous methodology and evaluation processes, we do not make representations that specific business outcomes — revenue improvements, cost savings, or performance targets — will be achieved through the use of our deliverables.

10. Limitation of Liability

To the maximum extent permitted by Malaysian law, Thoughtium's total liability for any claim arising from an engagement shall not exceed the total fees paid by the Client for that specific engagement. We are not liable for indirect, consequential, or incidental damages, including but not limited to loss of profits, data, or business opportunity.

Nothing in these terms limits liability for fraud, wilful misconduct, or any other liability that cannot be excluded by law.

11. Termination

Either party may terminate an engagement by providing 14 days' written notice. In the event of material breach by either party that is not remedied within 7 days of written notice, the non-breaching party may terminate immediately.

Upon termination, fees for work completed to the termination date are payable. Thoughtium will deliver all work in progress at that point. Obligations of confidentiality and intellectual property provisions survive termination.

12. Dispute Resolution

In the event of a dispute, the parties agree to first attempt informal resolution through good faith discussion within 30 days of the dispute arising. If informal resolution is unsuccessful, disputes shall be submitted to mediation through the Malaysian Mediation Centre before any formal legal proceedings are initiated.

These Terms and Conditions are governed by the laws of Malaysia. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Malaysia.

13. Changes to These Terms

We may update these Terms and Conditions from time to time. Updates will be indicated by a revised "Last Updated" date. Continued use of our website or services after changes are posted constitutes acceptance of the updated terms. For active engagements, terms in effect at the start of the engagement govern that engagement unless both parties agree otherwise in writing.
